Definitions

Website — website located at kfsensor.net owned and operated by KeyFocus Ltd.

User — a natural person, legal person or entity with no legal personality using KeyFocus Ltd. services / purchasing KeyFocus Ltd. Products via Website.

KeyFocus Ltd. Products — any software system and/or related explanatory materials, modifications, updates, additions provided to the User by KeyFocus Ltd at any time unless they are subject to separate terms.

KeyFocus Ltd. — Registered limited company in the United Kingdom.

Terms — these terms and conditions regulating the usage of the Website and KeyFocus Ltd. Products.

Computer — a single workstation, or server, on which the licensed software can be installed.

Purchases

For all your purchases, you can pay by credit card.

If you wish to purchase any Software, product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Refunds

Your satisfaction is our priority and we will try our best to resolve any issues you might have. Refunds are available subject to our Returns and Refund Policy.

Licenses

All software provided by Keyfocus is subject to a license and the software must be used in accordance with the conditions of the license.

The details of the license are included with software and must be accepted by the user to complete the installation process.

End User License Agreement

KeyFocus Ltd.

[This license agreement applies to the enterprise version of KFSensor. Other versions have similar licenses.]

BY INSTALLING OR USING THE PRODUCT OF KEYFOCUS LTD. THAT ACCOMPANIES THIS AGREEMENT, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

LICENSE GRANT

KeyFocus grants the Licensee a perpetual, non-transferable, non-exclusive right to install and use KFSensor Enterprise on one Computer for which license fees have been paid, as specified on the invoice the Licensee receives from KeyFocus or its authorized distributor, the receipt or purchase order, as applicable, in the manner described below under "Scope of License Grant. License fees must be paid for each personal computer, workstation or other digital electronic device ("Computer") on which KFSensor Enterprise is installed. This license is effective until terminated. The Licensee may terminate it at any point by destroying KFSensor Enterprise together with all copies of KFSensor Enterprise. KeyFocus has the option to terminate this Agreement if the Licensee fails to comply with any term or condition of this Agreement. Upon such termination, The Licensee agrees to destroy the KFSensor Enterprise installation together with all copies of KFSensor Enterprise.

SCOPE OF LICENSE GRANT

The Licensee may not; modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on KFSensor Enterprise; rent, lease, grant a security interest in, or otherwise transfer rights to KFSensor Enterprise; or remove any proprietary notices or labels on KFSensor Enterprise.

MAINTENANCE

This Agreement entitles the Licensee to receive Product Updates and email technical support (collectively "Maintenance") for one (1) year from the date the Licensee acquired KFSensor Enterprise. Thereafter, The Licensee has no right to download, install or use Product Updates or from KeyFocus's web site or to receive technical support, unless The Licensee acquires annual Maintenance at KeyFocus's then current fees. KeyFocus reserves the right to change the terms and conditions applicable to Maintenance from time to time. "Product Updates" are new versions of KFSensor Enterprise(excluding new or other products as reasonably determined by KeyFocus) released by KeyFocus during the Maintenance term.

NO WARRANTY

KFSensor Enterprise and Documentation are provided "AS IS" and without any warranty of any kind. KeyFocus and its suppliers disclaim all warranties and conditions, express or implied, including warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement of third parties' rights.

TITLE

Title, ownership rights, and intellectual property rights in KFSensor Enterprise, Documentation and results derived there from shall remain in KeyFocus. KFSensor Enterprise and Documentation are protected by copyright and other intellectual property laws and by international treaties.

TERMINATION

This license shall automatically and immediately terminate if the Licensee fails to comply with the terms and conditions described herein. Upon termination, the Licensee must destroy all copies of KFSensor Enterprise, Documentation and results derived there from.

LIMITATION OF LIABILITY

Under no circumstances shall KeyFocus or its suppliers or resellers be liable to the Licensee or any other person for any indirect, special, incidental, or consequential damages of any kind, including without limitation, damages for lost profits or revenue, business interruption, loss of data, computer failure or malfunction, or any and all other commercial damages or losses, whether foreseeable or not. In no event will KeyFocus be liable for any damages in excess of the amount received from the Licensee for a license to KFSensor Enterprise, even if KeyFocus shall have been informed of the possibility of such damages, or for any claim by any third party. Death and personal injury are excluded from these limitations of liability.

GENERAL

KFSensor Enterprise, including its code, documentation, appearance, structure, and organization is an exclusive product of KeyFocus, who retain the property rights to KFSensor Enterprise, its copies, modifications, or merged parts.

This Agreement is the complete statement of the Agreement between the parties on the subject matter, and merges and supersedes all other or prior understandings, purchase orders, agreements and arrangements.

This Agreement will be governed by and construed in accordance with English law and each of the parties agrees to submit to the exclusive jurisdiction of the English courts as regards any claim or matter arising under this Agreement.
